Partner Terms (Vendor agreement)

These Partner Terms (“Agreement”) apply to any business or individual (“Vendor”, “Partner”, “Provider”, “you”) who creates listings or sells services, rentals, tickets, or directory profiles through [Tourivo / Tourivobook] (“Platform”, “we”, “us”, “our”).

By registering as a Vendor or publishing a listing on the Platform, you agree to these Partner Terms.


1) Vendor eligibility and onboarding

  1. You must be legally able to operate and provide the services you list.

  2. You must provide accurate business information, including:

    • Business name, address, contact details

    • Licenses/permits (if required)

    • Identification and verification documents (if requested)

  3. We may approve, reject, or remove Vendors at our discretion to protect Platform quality and safety.


2) Vendor responsibilities

You agree to:

  • Provide services exactly as described in your listing (scope, inclusions/exclusions, duration).

  • Keep availability, pricing, and listing details accurate and up to date.

  • Respond to booking requests/messages within [X hours] (recommended: 12–24 hours).

  • Maintain safe operations, qualified staff, and required insurance where applicable.

  • Comply with all applicable laws, safety rules, and tax/VAT obligations.

  • Treat customers fairly and professionally.

  • Use customer data only to fulfill bookings and never for spam or unrelated marketing.


3) Listing rules and quality standards

A) Accurate listings

Your listing must include:

  • Clear title and description

  • Correct pricing (including currency)

  • Clear inclusions/exclusions (fuel, entry fees, equipment, etc.)

  • Meeting point / pickup details (if applicable)

  • Age requirements and health/safety warnings (if applicable)

  • Cancellation policy selection and no-show rules

B) Prohibited listings/content

You must not list illegal services, counterfeit products, or misleading claims. We may remove any content that violates Platform rules or harms customers.


4) Booking and fulfillment

A) Confirmation and delivery

  • If your listing requires confirmation, you must confirm/decline quickly.

  • Once confirmed, you are responsible for delivering the booking at the agreed date/time.

B) Changes and cancellations

  • If you need to change or cancel, notify the customer immediately.

  • If you cancel without valid reason, we may apply penalties (see Section 10).

C) Customer support

You must provide a reachable phone/WhatsApp number for urgent matters during service hours.


5) Cancellation and refund rules

A) Vendor-selected policies

You can select from Platform cancellation policy options (e.g., Flexible/Standard/Semi-flexible/Non-refundable) or define your policy if allowed by the Platform.

B) Weather and safety

For outdoor and sea-based services (boat charters, tours), you must clearly state:

  • What happens if weather/safety conditions prevent the service (reschedule/refund).

C) No-shows

No-shows are generally non-refundable unless your listing states otherwise.


6) Pricing, commission, and payouts

A) Pricing

You control your pricing and must keep it accurate. You may not charge hidden fees not disclosed in the listing.

B) Commission / service fee

If your listing is sold through Platform checkout, you agree to pay a commission/service fee of:

  • [X%] per confirmed booking OR [SCR X] per ticket OR as agreed in writing.

C) Payouts

If the Platform processes payments:

  • Payouts are made to your nominated payout method on [weekly/bi-weekly/monthly] schedule, subject to payment provider rules and any refund/chargeback holds.

  • You are responsible for providing correct payout information and complying with any KYC/verification requirements.

If the Vendor collects payment directly (bank transfer/cash):

  • The Platform commission (if any) must be settled according to the agreed terms.


7) Taxes and compliance

You are responsible for:

  • Tax/VAT registration and reporting (where required)

  • Issuing invoices/receipts to customers (where required)

  • Compliance with licensing, maritime/transport rules, park permits, and employment laws


8) Customer data and privacy

You must:

  • Use customer data only to fulfill bookings and provide support

  • Keep customer data secure and confidential

  • Not sell, share, or market to customers without consent

  • Delete or anonymize customer data when it is no longer needed


9) Reviews, ratings, and disputes

  • Customers may leave reviews based on genuine experiences.

  • You must not pressure customers for reviews or attempt to manipulate ratings.

  • In disputes, you agree to cooperate with reasonable requests for evidence (messages, photos, proof of service delivery).


10) Platform enforcement (penalties and removal)

We may temporarily suspend or remove your listing/account if you:

  • Frequently cancel confirmed bookings

  • Provide misleading info or poor customer experience

  • Fail to deliver services as described

  • Violate safety rules or laws

  • Abuse customers or Platform systems

Possible actions include:

  • Listing removal or demotion

  • Temporary booking restrictions

  • Withholding payouts for unresolved disputes

  • Permanent account termination in serious cases


11) Intellectual property and marketing

You retain ownership of your content (photos/text), but you grant us a non-exclusive license to:

  • Display your listing on the Platform

  • Promote your listing in marketing (ads, social media, email, etc.)

You confirm you have rights to all photos and content you upload.


12) Limitation of liability

To the extent allowed by law:

  • You are responsible for your operations and delivery of services.

  • We are not liable for your acts/omissions, injuries, accidents, cancellations, property damage, or regulatory violations.

  • Our liability (if any) is limited to amounts paid to us for Platform services related to the claim.


13) Term and termination

  • This Agreement starts when you create a Vendor account or publish a listing.

  • Either party may terminate at any time.

  • Upon termination, active bookings must still be honored or handled properly.


14) Governing law

This Agreement is governed by the laws of [Seychelles] (or [your chosen jurisdiction]) unless mandatory consumer laws apply.
